You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, the parties agree to first attempt to resolve the dispute informally. You agree to contact NorthSignal Media at [email protected] with a written description of your claim, and we will attempt to resolve the matter within thirty (30) calendar days.

If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration administered by a recognized Canadian arbitration body, conducted in Toronto, Ontario, in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.

12. Termination

NorthSignal Media may, in its sole discretion, suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms; conduct that NorthSignal Media believes is harmful to other users, the Site, or the business; or requests by law enforcement or government agencies.

Upon termination, all provisions of these Terms that by their nature should survive will survive, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination of your access does not relieve you of any obligation to pay amounts owed, if applicable, or to comply with legal obligations arising before termination.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NorthSignal Media regarding the use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
